TERMS OF SERVICE

By accessing or using EXEPD Inc.'s website and AI consultation services, you agree to be bound by these Terms of Service. Please read them carefully before engaging our services.

1. Scope of Services

EXEPD Inc. provides AI consultation and integration services, including but not limited to:

• AI readiness assessments and strategic planning
• Custom AI solution development and integration
• Business process optimization through AI implementation
• Ongoing AI system maintenance and support
• Training and education on AI technologies

2. Consultation Process

Our consultation services follow a structured 4-6 week process including business analysis, AI opportunity identification, and implementation roadmap development. Specific deliverables and timelines will be outlined in individual service agreements.

3. Intellectual Property

All custom AI solutions, code, documentation, and methodologies developed by EXEPD Inc. remain our intellectual property unless otherwise specified in writing. Client data and business information remain confidential and are not shared with third parties.

4. Payment Terms

EXEPD Inc. offers flexible payment options for AI consultation and implementation services:

OPTION A - PROJECT-BASED PAYMENT:

• AI Assessment & Strategy: 100% payment due upon signing ($3,000-$7,000)
• AI Implementation: 50% upon signing, 50% upon completion ($10,000-$25,000)
• Includes 90 days complimentary maintenance and support.

OPTION B - MONTHLY PAYMENT PLAN:

• Assessment phase payment required upfront.
• Implementation services available on 6-month minimum contracts.
• Monthly payments due on the 1st of each month.
• Early termination requires 90 days notice and penalty equal to 3 months of fees.

ONGOING MAINTENANCE & SUPPORT:

• After complimentary period: $125/hour (1-hour minimum billing)
• Annual maintenance contracts available at 18% of project cost
• New features and integrations quoted separately

All payments due within 7 days of invoice. Late payments incur 1.5% monthly interest and may result in service suspension.

5. Confidentiality

EXEPD Inc. maintains strict confidentiality regarding all client business information, processes, and data accessed during consultation and implementation services.

6. Data Protection and Privacy

We comply with applicable data protection laws including PIPEDA (Personal Information Protection and Electronic Documents Act). Client data is stored securely and used only for the purpose of providing our services. We do not sell, rent, or share client information with third parties without explicit consent.

7. Service Warranties and Disclaimers

While we strive to provide high-quality AI consultation services, we make no warranties regarding specific business outcomes or results. Our services are provided "as is" and we disclaim all warranties, express or implied, including but not limited to merchantability and fitness for a particular purpose.

8. Limitation of Liability

EXEPD Inc.'s liability is limited to the fees paid for services rendered. We are not liable for indirect, incidental, or consequential damages arising from our consultation or implementation services.

9. Client Responsibilities

Clients are responsible for providing accurate information, timely feedback, and necessary access to systems and personnel required for successful service delivery. Clients must also ensure they have appropriate authority to engage our services on behalf of their organization.

10. Termination

Either party may terminate services with 30 days written notice. Upon termination, all deliverables completed to date will be provided to the client, and payment for work completed is due within 30 days.

11. Force Majeure

EXEPD Inc. is not liable for delays or failures in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, or technology failures.

12. Service Modifications

We reserve the right to modify our service offerings and these terms. Material changes will be communicated to active clients with reasonable notice.

13. Maintenance and Support

All AI implementation projects include 90 days of complimentary maintenance covering bug fixes, minor adjustments, and user support. After this period:

• Ongoing maintenance and support is available at $125/hour with a minimum 1-hour billing increment.
• Maintenance includes: system updates, bug fixes, performance optimization, and user support.
• Additional development work including new features, additional integrations, or major workflow modifications will be quoted separately as new project work.
• Annual maintenance contracts are available at 18% of the original project cost, providing priority support and system updates.

14. Governing Law

These terms are governed by the laws of Ontario, Canada. Any disputes will be resolved in the courts of Ontario.

15. Entire Agreement

These Terms of Service, along with any signed service agreements, constitute the entire agreement between EXEPD Inc. and the client, superseding all prior communications or agreements.
